These Terms and Conditions (“Terms”) govern access to and use of the HolyShift website located at https://www.holyshift.ai (the “Website”) and the HolyShift software platform, applications, and services (collectively, the “Service”), operated by HolyShift, Inc. (“HolyShift,” “we,” “us,” or “our”).

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not access or use the Service.

1. DEFINITIONS

  • User” means any individual or entity accessing or using the Service.
  • Customer” means a User who has registered an account.
  • Content” means any text, data, prompts, inputs, outputs, reports, feedback, or other materials submitted to or generated by the Service.
  • Affiliate” means a participant in HolyShift’s affiliate or referral program.
  • Third-Party Services” means external platforms or services integrated with or referenced by the Service, including analytics, payment processors, and affiliate software.

2. ELIGIBILITY & ACCOUNT REGISTRATION

You must be at least 18 years old and have legal authority to enter into these Terms.
When creating an account, you agree to:

  • Provide accurate and complete information
  • Maintain the security of your credentials
  • Accept responsibility for all activity under your account

HolyShift reserves the right to suspend or terminate accounts that violate these Terms.

3. DESCRIPTION OF THE SERVICE

HolyShift provides an AI-powered market-validation and insight platform that helps users test, analyze, and interpret market signals related to products, services, ideas, or messaging.

Important disclaimer:
​HolyShift provides analytical tools and synthesized insights. We do not guarantee:

  • Product-market fit
  • Commercial success
  • Accuracy or completeness of third-party data
  • Regulatory, legal, or financial outcomes

All decisions made based on the Service are at your own risk.

4. ACCEPTABLE USE

You agree not to use the Service to:

  • Violate any law or regulation
  • Infringe intellectual property or privacy rights
  • Engage in deceptive, misleading, or fraudulent behavior
  • Generate or distribute spam, malware, or abusive content
  • Circumvent platform rules of third-party communities (e.g. LinkedIn, Reddit)
  • Reverse engineer, scrape, or misuse the Service or its outputs

HolyShift may investigate and take action, including suspension or termination, for violations.

5. USER CONTENT & DATA RIGHTS

5.1 Ownership
You retain ownership of Content you submit to the Service.

5.2 License to HolyShift
You grant HolyShift a limited, non-exclusive, worldwide, royalty-free license to process, analyze, and display your Content solely to provide and improve the Service.

5.3 Aggregated & Anonymized Data
HolyShift may use anonymized and aggregated data derived from the Service for analytics, benchmarking, research, and product improvement, provided no personal data or confidential information is identifiable.

6. AI-GENERATED OUTPUTS

The Service may generate outputs using AI systems and third-party models.

  • Outputs are probabilistic and may contain inaccuracies
  • Outputs are not legal, financial, or professional advice
  • You are responsible for validating results before use

HolyShift disclaims liability for reliance on AI-generated outputs.

7. THIRD-PARTY SERVICES

The Service may integrate with or rely on Third-Party Services.
HolyShift:

  • Does not control third-party platforms
  • Is not responsible for their availability, accuracy, or policies
  • Disclaims liability arising from third-party services

Your use of such services is governed by their respective terms.

8. AFFILIATE & REFERRAL PROGRAM

8.1 Program Overview

HolyShift offers an affiliate and referral program that allows approved participants to earn commissions for qualifying referrals.

​Affiliate tracking and attribution are managed through a third-party provider, FirstPromoter.

8.2 Eligibility & Enrollment​

Participation is subject to approval. HolyShift may reject or revoke participation at its discretion.

Affiliates must:

  • Provide accurate information
  • Comply with all applicable laws and marketing regulations
  • Follow HolyShift's brand and disclosure guidelines

8.3 Tracking & Attribution

  • Referrals are tracked via unique links and technical identifiers
  • Attribution rules (e.g., time windows, last-click logic) are determined by the system
  • HolyShift does not guarantee successful tracking or attribution

System records are final and binding.

  • Commission rates and payout terms are defined in the affiliate dashboard or program materials
  • Payments may be subject to thresholds, delays, and verification
  • HolyShift may withhold or reverse commissions in cases of fraud, abuse, or policy violations

Affiliates are responsible for all taxes and reporting obligations.

8.5 Prohibited Conduct

Affiliates may not:

  • Engage in spam, misleading claims, or false endorsements
  • Bid on HolyShift trademarks without permission
  • Use deceptive incentives or impersonationViolate platform advertising or community rules

8.6 Disclosure Obligations

Affiliates must clearly disclose their relationship with HolyShift in accordance with FTC, EU, and other applicable regulations.

8.7 Termination

HolyShift may suspend or terminate affiliate participation at any time, with or without cause, and without liability.

8.8 Independent Contractor Status

Affiliates are independent contractors. Nothing creates an employment, agency, partnership, or joint venture relationship.

9. FEES & PAYMENTS
(NON-AFFILIATE USERS)

Paid plans are billed as described at checkout or in a separate agreement.
Unless otherwise stated:

  • Fees are non-refundable
  • Taxes are the responsibility of the Customer
  • Failure to pay may result in suspension or termination

10. INTELLECTUAL PROPERTY

All rights in the Service, including software, models, branding, and documentation, are owned by HolyShift or its licensors.

Except as expressly permitted, no rights are granted to copy, modify, or distribute the Service.

11. CONFIDENTIALITY

Each party agrees to protect confidential information disclosed in connection with the Service and to use it only as permitted.

12. DISCLAIMER OF WARRANTIES

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”
HOLYSHIFT DISCLAIMS ALL WARRANTIES, INCLUDING:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY OR RELIABILITY OF OUTPUTS

13. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW:
HOLYSHIFT SHALL NOT BE LIABLE FOR:

  • INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES

14. INDEMNIFICATION

You agree to indemnify and hold harmless HolyShift from claims arising out of:

  • Your use of the Service
  • Your Content
  • Affiliate or marketing activities
  • Violation of these Terms or applicable law

15. TERMINATION

HolyShift may suspend or terminate access at any time for violation of these Terms or legal risk.

Upon termination:​

  • Access to the Service ceases
  • Certain provisions (IP, liability, indemnity) survive

16. GOVERNING LAW & DISPUTES

These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules.

Exclusive jurisdiction lies in state or federal courts located in California.

17. CHANGES TO TERMS

We may update these Terms from time to time. Continued use of the Service constitutes acceptance of the updated Terms.
